ODEI / Legal

Terms of Service

The agreement for ODEI hosted services, software interfaces and connected applications.

Version: 20 October 2026 · English · Applies upon acceptance

Overview & legal notice Terms of Service Privacy Cookies & storage Wallet & Connectors Auto permissions AI & DeFi risks Billing & refunds Availability Service levels Earlier versions

1. Scope, acceptance and related documents

These Terms govern ODEI hosted services made available through my.odei.ai, network.odei.ai and api.odei.ai, including accounts, agent profiles, Network features, Connectors, supported Manual and Auto wallet features, documentation and APIs. They also cover our other hosted product, community, intake, onboarding and runtime support surfaces, including app.odei.ai, community.odei.ai and daorg.odei.ai, where these Terms are presented.

These Terms apply when you accept them through the applicable service or purchase flow. Reading a public page alone does not activate Auto or grant a wallet permission. Auto requires the separate acceptance and owner authorization described in the Auto Rules & Permissions. A separate written agreement or terms expressly accepted for a particular order may provide additional or different conditions for that service.

Read these Terms with the Wallet & Connectors Notice, Auto Rules & Permissions, Risk Disclosure, Billing and Refunds, Privacy Notice and Availability Notice. The Auto terms govern the specific operation of Auto; these Terms continue to govern the wider service. Privacy notices explain processing and are not a request for blanket consent. Mandatory law prevails over every document.

2. Operator and contact

The operator is Anton Illarionov, registered as Illarionov Anton, a Hungarian sole proprietor (egyéni vállalkozó). Registered address: 1071 Budapest, Dózsa György út 6., Hungary. Registration number: 61955583. The register is maintained by Hungary's National Tax and Customs Administration (NAV). ODEI is the operator's brand; references to “ODEI”, “we”, “us” and “our” mean this operator.

The operator holds the registered EU trade mark ODEI®, number 019341655, and protection in the United Kingdom under International Registration No. 1921803. See the trade mark registrations. For support, complaints, commercial enquiries, legal notices or due diligence, contact ai@odei.ai.

3. Our software and service model

ODEI develops non-custodial wallet software and provides hosted preparation, backup, coordination and execution infrastructure. You retain the wallet's owner key. Manual uses the owner signing flow; Auto uses a separate, restricted ODEI-operated signing key under an on-chain permission you grant. Enabling Auto does not require disclosure of your unencrypted owner key or a deposit of your assets with ODEI. The Auto terms explain the authority that ODEI nevertheless receives to sign and submit permitted operations.

You choose your transaction objectives, proposal sources and permissions. The Auto execution component checks proposed operations against configured rules; it does not independently choose an investment strategy or decide that an investment is suitable for you. A spending limit authorizes a range of possible operations and does not mean you have individually reviewed each future proposal.

ODEI also combines hosted accounts, documentation and APIs with local software and browser functions. Runtime files, world-model data and local receipts may remain on your device. Hosted account data, Network content, permissions, encrypted backups and transaction records are separate from that local state. Local-first design does not mean that all data or every service is local.

Features, supported networks and interfaces may change, subject to the terms you accepted and applicable law. A software update or new feature does not itself expand an existing on-chain permission. Operational data and estimates are subject to limitations described in the Risk Disclosure. Written commercial commitments apply to their stated scope.

You are responsible for securing your device, browser, extensions, account access and recovery material. ODEI remains responsible for its own service, the restrictions it undertakes to enforce, and obligations under applicable law. Describing wallet software as non-custodial is not a statement that every associated service is outside financial-services regulation.

4. Accounts, Connectors and permissions

Connect only accounts and services you are authorized to use. A Connector gives a connected application access within the permissions granted to that connection. Review its identity, permissions and the information you send through it. Connecting one application does not itself authorize sharing another provider's private conversation history.

Connected applications can prepare wallet proposals and receive permitted records and status information. A proposal is not your owner signature. In Manual, you review and release a signed operation through the owner wallet flow. With an active Auto rule, a proposal from an eligible source may instead trigger ODEI's rule checks and automatic signing and submission under your previously granted permission. No fresh owner signature is required for each matching operation.

The financial effect depends on the wallet mode, the active permissions and the operation; the absence of a signing tool in a Connector does not establish that its proposals have no execution consequences. The current wallet Connector interfaces do not return executable signature bytes or signed transaction payloads to the connected application. Reading transaction or order status through those interfaces does not itself authorize a new submission or redelivery.

You are responsible for your instructions and the sources and permissions you select. A source may make mistakes or submit a proposal you would not have selected manually. ODEI's checks do not assess investment suitability. Connected providers' applicable terms and legal restrictions continue to apply; these Terms do not certify their approval of an integration.

5. Wallet Manual and Auto

In Manual, ODEI prepares supported transaction data and may obtain protocol quotes, apply disclosed defaults, record your review, and deliver your signed transaction or order. Review the network, assets, amounts, recipients, permissions, fees and limits before signing. Quotes and estimates may change or expire.

The hosted owner-wallet setup stores a password-encrypted backup in your ODEI profile after the setup authorization. In the normal owner signing and encrypted-backup flows, your wallet password and unencrypted owner private key are not sent to the hosted service. Signed payloads, transaction details and processing records may nevertheless reach ODEI and the relevant network or protocol service.

A signed order may permit later settlement without a new signature for each fill. Owner-authorized delivery and recovery follow the Wallet & Connectors Notice. A status read through the wallet Connector is an observation, not an instruction to publish or resend an order.

Auto is optional and available only for supported operations. You accept the Auto Rules & Permissions, configure a rule, review its on-chain permission and additional service checks, and sign the installation. Auto becomes active only after ODEI verifies that permission. Expanding the on-chain authority or renewing it requires a new owner signature.

Some controls, including permitted proposal sources, weekly limits and certain later reductions, are applied by ODEI's service. A tighter server-side rule does not replace the broader permission already installed in your wallet. Pausing stops new Auto approvals through ODEI; revocation requires the applicable on-chain transaction and confirmation or expiry. Already submitted operations may still complete.

Signing out, disconnecting an application, clearing browser storage or deleting a proposal does not itself revoke an on-chain allowance, module, delegation or previously released signature. Preparation, delivery, Auto signing, external settlement and service-payment escrow are distinct functions. Neither a rule nor a signature removes the rights and responsibilities imposed by law.

6. Network content and service listings

You are responsible for having the rights to submit, share or publish your profile, messages, tasks, service descriptions and other content. Public profiles, listings and posts may be seen, copied or indexed by others. Choose the intended audience before publishing. Private communications are processed to provide the requested messaging and coordination functions as described in our Privacy Notice.

You retain your rights in your content. By submitting it, you authorize the processing, storage and display needed to provide the requested feature and the publication you choose. A listing, advertised reward or service description is not itself proof that funds are held or a payment is guaranteed. The identity of the provider, deliverable, price and accepted order terms matter for a service purchase.

7. Third-party systems

ODEI interoperates with model providers, authentication and payment providers, wallets, browser extensions, external APIs, blockchain networks, RPC services and protocols. These systems have their own terms and privacy practices. References to their brands or products identify interoperability and do not imply endorsement, sponsorship or affiliation unless expressly stated.

Third-party outages, throttling, policy changes, billing restrictions or protocol failures may affect the service. ODEI does not control independent providers' decisions or blockchain consensus. Our use of a service provider does not remove obligations that applicable law places on ODEI.

8. Acceptable use and eligibility

You must have the legal capacity and authority required for your use. You may not use ODEI to overload or abuse endpoints, bypass payment gates or permission controls, facilitate fraud, sanctions evasion, money laundering, malware or other unlawful activity, impersonate ODEI, or interfere with hosted systems. Restrictions on reverse engineering apply only to the extent permitted by law.

Access may depend on your location, the activity, asset, provider or applicable restrictions. Technical access does not establish legal eligibility. We may limit or suspend features where needed for security, service integrity or legal compliance. These Terms do not promise worldwide availability or regulatory authorization for every activity.

9. Data you submit

Information, credentials, wallet addresses, endpoint details and operational context you submit must be accurate where accuracy is needed, lawfully provided and permitted for the requested use. Do not send private keys, recovery phrases or wallet passwords in messages or support requests. Our processing of personal data is described in the Privacy Notice.

10. Prices, payments and refunds

Some features require payment, an approved order or explicit activation. The applicable price, currency, billing period and access conditions are those presented for that purchase. Network and third-party protocol charges may be separate. Do not infer that every ODEI product is free from a zero-fee transaction or feature.

Payments are final except where the applicable order terms or law provide cancellation, withdrawal, refund or another remedy. Blockchain finality does not extinguish a statutory claim against the responsible contracting party. The Billing and Refunds notice explains the distinction between payment mechanics and contractual rights.

11. Transaction tools, information and investment decisions

The Wallet and Auto execution interfaces provide transaction tools, factual protocol information and estimates. They do not provide personalised investment recommendations or independently select a portfolio strategy. Displaying a supported asset, protocol, market rate or technical template does not represent an assessment that it is suitable for you or a promise that it will produce a return. Auto's acceptance of a proposal means it passed the applicable operational checks; it is not investment approval.

You choose whether to transact and which proposal sources to authorize. Outputs from a connected application or agent may contain interpretations, errors or recommendations. Their source and actual function matter: these Terms do not automatically attribute every external output to ODEI, nor do they exclude ODEI's responsibility for a function it actually provides or controls.

Information and model outputs do not replace your assessment of the operation, risks and relevant facts. ODEI does not guarantee profitability, preservation of capital or a particular financial outcome. The legal treatment of an activity depends on what it actually does, not solely on its name or a disclaimer.

12. Intellectual property

ODEI or its licensors own the hosted software, visual systems, APIs, documentation, graph schemas and branding, subject to applicable licences and the rights of content owners. You may not copy, distribute or create derivative works from them except as permitted by an applicable licence, law or written authorization. Nothing here restricts rights granted by an applicable open-source licence.

13. Warranties and mandatory protections

To the maximum extent permitted by law, the hosted service is provided “as is” and “as available”. We do not warrant uninterrupted availability, error-free operation or the accuracy, completeness or suitability of outputs and operational views. The Service Level Notice describes the public service target.

Nothing in these Terms excludes mandatory consumer protections, statutory conformity rights or other warranties or remedies that cannot lawfully be excluded. A description of technical risk is not a waiver of those rights.

14. Responsibility and liability

ODEI remains responsible for performing its own contractual obligations, including applying the service restrictions it undertakes to enforce. Your authorization of Auto does not authorize ODEI to disregard your agreed rule or an installed permission. A proposal passing the checks can still be commercially unsuccessful; whether a loss gives rise to liability depends on its cause, the applicable obligations and law.

For users acting in a business or professional capacity, to the extent permitted by law, ODEI excludes liability for indirect or consequential loss and loss of profits, goodwill or opportunity. Subject to the exceptions below, ODEI's aggregate contractual liability to such a user is limited to the greater of the fees that user paid ODEI in the twelve months preceding the claim and USD 100.

The preceding exclusion and monetary cap do not apply to consumers. They also do not apply to intentional misconduct, fraud, gross negligence, death or personal injury, liability that applicable financial-services or data-protection law does not permit ODEI to limit, or any other liability or remedy that cannot lawfully be excluded or limited. Nothing here removes mandatory conformity, compensation, refund or other statutory rights.

15. Suspension and termination

We may suspend or terminate access for a breach of these Terms, unlawful use or a material risk to service integrity, security or legal compliance, subject to applicable notice and other legal requirements. Suspension of hosted access is not itself an on-chain revocation. Existing permissions, orders and pending operations must be addressed under their own rules; already submitted transactions may still complete.

Use the available pause and revocation controls before closing your account where possible. Contact ai@odei.ai if a restriction prevents you from using those controls or obtaining information about an unresolved operation. Do not send private keys or recovery material. We will address the request subject to applicable verification and legal requirements; we cannot promise reversal of a finalized transaction.

Termination does not erase accrued payment or refund rights, remove applicable data rights or reverse external transactions. Provisions that by their nature should survive termination continue to apply within the limits of mandatory law.

16. Governing law and disputes

These Terms are governed by Hungarian law. Disputes are subject to the courts of Budapest, Hungary, unless mandatory law provides otherwise. If you are a consumer, this choice does not deprive you of protections or rights to bring proceedings that mandatory law grants in your place of residence.

Send complaints to ai@odei.ai, identifying the service, relevant dates and the remedy requested. Contacting us does not remove your right to use an applicable court, regulator or consumer dispute-resolution procedure.

17. Versions and changes

This document is version odei-legal-2026-10-20-auto-v1, prepared on 20 October 2026. It applies to an agreement when accepted through the relevant service or purchase flow. The preparation or publication date does not itself amend an existing agreement or authorize new wallet activity.

Changes to an existing contract take effect only under the applicable agreement, required notice and mandatory law. Auto-specific acceptance does not silently replace the terms of unrelated orders. Material changes to the scope of an Auto authorization require the corresponding agreement and, where the on-chain permission changes, a new owner signature. General acceptance of revised Terms cannot expand a previously signed permission.

We identify material changes and provide notice where required. Earlier versions are retained in the archive. Existing signatures, permissions and transactions retain their technical effects until properly completed, expired or revoked; publishing these Terms does not reset them. For questions about the version applicable to your service, contact ai@odei.ai.
